These Terms of Service ("Terms") are a legally binding agreement between you and BOXMEX, LLC ("BOXMEX," "we," "us," or "our") and govern your access to and use of `boxmex.ai`, related websites/apps, and related support channels (collectively, the "Sites"), and our label-purchase and shipment-management platform services (the "Services").
By creating an account, purchasing a label, or using the Sites or Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Sites or Services.
IMPORTANT: These Terms include a mandatory arbitration agreement, a class action waiver, disclaimers of warranties, and limitations of liability.

- BOXMEX is a shipping-platform intermediary. We help you buy/manage shipment services, but we do not physically transport, deliver, customs-clear, or insure your goods.
- Your shipment contract is with the third-party service provider handling the shipment leg.
- For U.S.-to-Mexico shipments, you are responsible for import compliance, documentation, duties/taxes, and restricted-item compliance.
- You are responsible for account security and payment authorization, including pass-through shipping adjustments and surcharges.
- Once a shipment label is purchased, a refund is not guaranteed and may be denied except where required by law or expressly allowed under these Terms.
- Disputes are generally resolved by individual arbitration in Texas, with no class actions, unless applicable law requires otherwise.
1) Eligibility and Acceptance
You represent and warrant that you:
- are at least 18 years old (or older if required by your jurisdiction);
- can form a legally binding contract;
- will use the Services only for lawful purposes;
- are authorized to act for any person/entity you represent;
- are not on prohibited sanctions lists and are not in comprehensively sanctioned regions;
- will provide accurate account, shipment, and payment information.
If you use the Services for an organization, these Terms bind both you and that organization.
2) Services and Intermediary Role
BOXMEX provides a technology and operations platform to help you compare, purchase, and manage third-party shipping and related services.
BOXMEX is not a carrier, customs broker, freight forwarder, importer of record, insurer, or money services business, and does not take title to or custody of your goods. BOXMEX does not guarantee service availability, delivery times, or outcomes by third-party providers.
Your contract for shipment performance is with the applicable third-party provider. Their terms, tariffs, limits, and claims rules apply.
3) Shipment Compliance and Cross-Border Terms
You are solely responsible for shipment legality and compliance, including:
- accurate shipment descriptions, values, classifications, and recipient information;
- compliance with U.S. and Mexican import/export, sanctions, customs, and product regulations;
- all duties, taxes (including IVA where applicable), customs fees, storage fees, return fees, destruction fees, and related charges;
- ensuring goods are not prohibited/restricted by law or provider policy;
- all required hazardous-material classification, packaging, labeling, declarations, and acceptance checks.
For U.S.-to-Mexico shipments:
- you (or your written designee) are the Importer of Record;
- title and risk of loss remain with you or your consignee at all times;
- each third-party custodian is responsible only under its own terms and applicable law.
If authorities hold, seize, return, abandon, or destroy a shipment, you remain responsible for associated charges. BOXMEX does not control customs determinations and does not guarantee customs release or clearance.

5) Accounts, Security, and Termination
You are responsible for safeguarding credentials and activity under your account (to the extent permitted by law), and for promptly notifying support@boxmex.ai of suspected unauthorized use.
BOXMEX may perform identity, sanctions, and fraud screening, and may suspend or terminate accounts/access for lawful reasons, including suspected legal risk, payment default, chargebacks, misuse, or abusive behavior toward support personnel.
You may close your account at any time by contacting support. Rights and obligations that should survive termination (including payment, indemnity, liability limits, and dispute provisions) survive.
6) Third-Party Sites and Integrations
The Services may integrate with third-party websites, APIs, software, and marketplaces. BOXMEX is not responsible for third-party uptime, data errors, API behavior, or losses arising from those services. Your use of third-party services is governed by their own terms and policies.
7) Intellectual Property and Acceptable Use
The Sites, Services, software, and related content are owned by BOXMEX or its licensors and protected by law. Subject to your compliance with these Terms, BOXMEX grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal or internal business purposes.
You may not:
- violate law or third-party rights;
- misuse the Services for unlawful shipment activity;
- interfere with security, authentication, or system integrity;
- reverse engineer or attempt unauthorized access;
- upload malicious code;
- scrape, crawl, mine, or extract Site/Service content via bots or automated methods without written permission.
Third-party marks and tracking systems accessed through the Services remain the property of their respective owners and may be used only for authorized shipping/tracking purposes.
8) Service Availability and Force Majeure
BOXMEX may modify, suspend, or discontinue any portion of the Services at any time for legal, operational, maintenance, or security reasons.
To the fullest extent permitted by law, BOXMEX is not liable for delays/failures caused by events beyond reasonable control, including severe weather, labor disruptions, cyber incidents, telecommunications failures, governmental/regulatory actions, sanctions, border restrictions, public emergencies, or similar force majeure events.
9) Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the Sites and Services are provided "as is," "where is," and "as available," without warranties of any kind (express, implied, statutory, or otherwise), including merchantability, fitness for a particular purpose, title, non-infringement, security, accuracy, or availability.
To the maximum extent permitted by law:
- BOXMEX is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits/data/business;
- BOXMEX is not liable for acts/omissions of third-party providers, customs authorities, or other third parties;
- BOXMEX's aggregate liability for claims arising from a specific Service will not exceed the amount paid for that specific Service.
Nothing in these Terms limits liability that cannot be limited under applicable law.
Any claim must be commenced within one (1) year after it arises, unless a longer period is required by law.
10) Indemnification
You agree to defend, indemnify, and hold harmless BOXMEX and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal/accounting fees) arising out of or related to:
- your breach of these Terms;
- your shipments, declarations, or documentation;
- your legal/regulatory violations;
- prohibited/restricted goods or hazardous-material violations;
- your misuse of the Services.
11) Dispute Resolution, Arbitration, and Class Waiver
Please read carefully. This section affects your legal rights.
11.1 Informal Resolution First
Before filing arbitration or eligible small-claims action, the claimant must send notice of dispute to the other party and participate in good-faith informal resolution (including a meet-and-confer by phone/video) for up to 60 days.

11.2 Binding Individual Arbitration
If unresolved, disputes are resolved by final, binding, confidential individual arbitration in English in Travis County, Texas, except eligible small-claims matters.
This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. sections 1-16).
Either party may seek temporary injunctive/equitable relief in a court of competent jurisdiction where legally permitted.
11.3 Class Action Waiver
You and BOXMEX waive rights to bring or participate in class, collective, consolidated, or representative actions in arbitration or court, to the maximum extent permitted by law.
11.4 Arbitration Opt-Out
You may opt out of arbitration by emailing within 30 days after first accepting these Terms, with your name, account email, and clear opt-out statement.
12) Governing Law, Notices, and General Terms
These Terms are governed by Texas law and applicable U.S. federal law, without regard to conflict-of-law principles, except where preempted or otherwise required by law.
Where court proceedings are permitted, venue is in courts located in Travis County, Texas, unless applicable law requires otherwise.
BOXMEX may send notices by email, posting on the Sites, or other lawful means. You must keep contact information current.

BOXMEX may update these Terms from time to time by posting revised Terms with an updated "Last Modified" date; where required by law, BOXMEX will provide additional notice or obtain required consent. Continued use after effectiveness constitutes acceptance.
These Terms, the Privacy Policy, and any applicable Additional Terms form the entire agreement regarding the Services and supersede prior understandings on the same subject matter.
If any provision is unenforceable, remaining provisions remain in effect. Failure to enforce is not a waiver. You may not assign these Terms without BOXMEX's consent. BOXMEX may assign these Terms in connection with merger, acquisition, reorganization, financing, or sale of assets.
13) SMS Messaging Program
BOXMEX may offer optional recurring SMS messages for operational and customer-care purposes, including quotes, orders, payment status, shipment intake, tracking, delivery exceptions, and support. Message frequency varies. Msg & data rates may apply.
SMS consent is not required to purchase or use BOXMEX shipping services. Providing a phone number for account security, sign-in codes, MX delivery contact requirements, or shipment records does not by itself enroll you in recurring BOXMEX SMS.
Reply STOP to opt out and HELP for help. You may also visit https://boxmex.ai/en/support or contact support@boxmex.ai. Carriers are not liable for delayed or undelivered messages.
BOXMEX does not share mobile opt-in data or consent data with third parties or affiliates for marketing or promotional purposes. Twilio and other service providers may process messages only to deliver BOXMEX communications as described in our Privacy Policy.
